MANUFACTURING LEAD TIMES – SHIP DATE Delivery dates are based on a fully clarified and approved order, receipt of all proper artwork files where required, copy lists and requested materials for accurate production. Failure to provide the same may cause the ship/delivery date to be delayed.
RUSH ORDERS We reserve the right to apply a 30% rush charge ($35 minimum) to any order requiring immediate manufacturing and shipment.
CHANGES OR CANCELLATIONS Should you need to change or cancel an order, please notify us immediately by phone and confirm in writing the same day either by e-mail or fax. Be sure you have confirmation from us that the cancellation has been received. Please note that you will be billed for all non-stock materials either on-order or in process as well as any completed goods, professional services rendered and expenses accumulated in the act of fulfilling the original order.
ARTWORK AND COPY APPROVALS Please confirm your information, obtain necessary sign-offs and proofread everything prior to the start of the job to avoid delays. We need your dated approval and signature on all art and copy prior to beginning production of your order.
RIGHTS Please be prepared to show proof that you have the legal rights to supply us with logos, artwork, design elements and copy for your project should the need arise. It is also understood, by reason of this document, that you agree to indemnify and hold us harmless for any and all use of materials you provide for the execution of your project.
INTELLECTUAL PROPERTY The Intellectual Property(IP) laws of the United States apply. The ownership of all Intellectual Property created by us for your project/program resides with People Signs regardless of the format of those materials – electronic, dimensional, paper, presentations, etc. Such information as relates to this project may not be disclosed or distributed in any manner without our prior permission. Likewise, People Signs agrees to respect your IP in the same manner.
PROMOTIONAL OPPORTUNITIES Once products produced are in the marketplace, all parties involved can use photos of all or some elements of the program for promotional purposes. No endorsement will be implied without prior permission.
CONFIDENTIALITY It is understood that information exchanged in the course of doing business together is proprietary to each respective company and as such will be treated confidentially.
PRICES All prices are net and valid for 90 calendar days from the date of quote.
DEPOSITS If you do not have an established People Signs account, a 50% deposit is required on all orders. Credit applications are provided upon request.
TERMS Standard net 30 days for established accounts for orders over $100 and require a 30% deposit. Credit applications are available upon request. C.O.D., MasterCard, Visa, Discover, and American Express are accepted for your convenience. If a customer account is past due, People Signs reserves the right to charge a service charge of 1.5 % per month and delay any further shipments until payments are received. Any C.O.D. order exceeding $500 must be paid for by money order or certified check.
SHIPPING All shipments are FOB the manufacturing plant. All orders will be shipped via UPS where weight and size permit. Shipments exceeding UPS standards will ship via common carrier.
RESPONSIBILITY FOR GOODS Responsibility for goods shipped ceases upon acceptance of the shipment by land or air carriers. All claims are the responsibility of the receiving party. People Signs will assist you in order to limit the inconvenience.
SUGGESTED CUSTOMER RECEIVING PROCEDURE Though all of our signs are packed in the best manner possible, damage may occur. It is important to inspect all cartons for damage and verify carton quantity. Do not refuse merchandise damaged in transit. Record crushed cartons, damages and shortages on freight bill. Sign only for the number of items received. Do not sign freight bill without noting damages or carrier will be relieved of further responsibility. Upon receipt of a damaged shipment, immediately request an inspection by the carrier. Confirm your request in writing. If at all possible, take a digital picture of the damaged goods.
If damaged by UPS, notify both People Signs and your local UPS for pickup of the damaged product and packaging. If damaged by common carrier, contact their claims department and file a claim. Do not return goods to People Signs. The carrier will contact our plant and we will do everything possible to send you a replacement item. It is imperative in both cases to save all packaging for proof of damage.
SCHEDULE CHANGES AND DELAYS People Signs will do its best to accommodate any request from you for a change in shipping, installation and service dates. However, reimbursement will be required for expenses and wages if we cannot accommodate a schedule change or if, on the agreed upon date, we find, upon arrival, that the site is not ready for installation. This may result in an up charge in related expenses, including fees from travel, subcontractors, special services, etc.
RETURNS No returns are permitted without prior authorization. A 25% handling charge will be assessed on all approved returns. Authorized returns must be prepaid. Custom orders cannot be returned.
INSTALLATION Date and time will be coordinated accordingly. Any required permits must be secured prior to installation.
WARRANTY All products are warranted against defective workmanship and material for a period of one (1) year from the date shipped. People Signs is not responsible for damage to product resulting from misuse, neglect or circumstances beyond our control. The following is made in lieu of all warranties, expressed or implied: The only obligation for People Signs shall be to furnish such parts proven to be defective. This warranty does not include labor, installation or other costs incurred in connection with providing replacement parts under warranty. People Signs shall not be liable for any injury, loss or damage, direct or consequential, arising out of the use, or inability to use, the product. Before using, user shall determine the suitability of the product for intended use and assume all risk and liability whatsoever in connection therewith.
DISPUTES People Signs is a registered trademark of PMA 13, Inc. doing business in Allentown, PA. As such, should any dispute arise that cannot be settled amicably in the process of doing business with each other, that dispute will be submitted for arbitration in the State of Pennsylvania and settled in accordance with the laws of the Commonwealth of Pennsylvania. The prevailing party in any legal dispute is entitled to reasonable reimbursement of costs and attorney fees.
REPRESENTATION It is assumed that the signatory to this agreement has the full legal authority to enter into a binding agreement for your company.
